This Authorized Reseller Partner Agreement (“Agreement”) establishes a formal legal contract between you, the individual or business entity ("ARP", “Affiliate Partner,” “You,” or “Reseller”) and Jeunive, LLC (“Jeunive,” “Company,” “we,” or “us”). By creating a professional account, purchasing wholesale inventory, or accessing our digital portals (the “Platform”), you acknowledge that you have reviewed and accept these terms in their entirety. If you do not agree to these commercial standards, you are not authorized to resell Jeunive products or use our professional assets.

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties. The Authorized Reseller Partner is an independent contractor and has no authority to bind Jeunive, assume any obligation, or make any representations or warranties on Jeunive’s behalf.

Capacity: You represent that you are at least 18 years of age and possess the legal authority to enter into commercial contracts.

Accuracy of Data: You must provide verified, current, and professional information during registration. Any account found using aliases or fraudulent business credentials will be terminated immediately.

Account Security: You are the sole custodian of your credentials. Jeunive is not liable for unauthorized procurement or orders resulting from your failure to secure your account.

All digital architecture, formulations, branding, photography, and text (the “Intellectual Property”) are the exclusive property of Jeunive, LLC.

Limited License: Authorized Resellers are granted a revocable, non-exclusive license to utilize our product images and descriptions solely for the promotion of Jeunive products.

Prohibitions: You may not scrape, decompile, or "mirror" our Platform. Unauthorized use of our Marks in meta-tags, hidden text, or as part of a third-party domain name is strictly forbidden.

To maintain the integrity of our clinical-grade skincare line, the following activities are prohibited:

Third-Party Marketplaces: Reselling on Amazon, eBay, Walmart.com, or similar discount aggregators is prohibited without a specific "Marketplace Addendum" signed by Jeunive.

Automated Harvesting: Use of bots or scripts to monitor pricing or inventory levels is a violation of this Agreement.

Brand Disparagement: Resellers shall not engage in any conduct that tarnishes the reputation of Jeunive, its products, or its executives.

To maintain the premium positioning of the Jeunive brand, Authorized Reseller Partner agrees to adhere to the Company’s Minimum Advertised Price (MAP) as set forth in the current wholesale price list.

Prohibition on Underselling: Authorized Reseller Partner is strictly prohibited from publicly advertising Jeunive products at a discount, or at a price lower than the suggested Retail Price (MSRP), in any print or digital media, including social media and "add to cart" pricing.

Treatment Packaging Exception: Notwithstanding the above, Authorized Reseller Partner may offer Jeunive products at a reduced effective rate only when advertised as part of a "Treatment Special" or "Service Package" (e.g., a post-procedure kit included with a facial). In such instances, the product price must not be "line-itemed" as a discount on the product itself, but rather presented as an inclusive value of the professional service package.

Violations: Failure to comply with the MAP policy undermines the brand’s clinical value and shall be considered a material breach of this Agreement, resulting in the immediate suspension of purchasing privileges.

If you or your clients post reviews on our Platform, you grant Jeunive a perpetual, royalty-free license to use that content for marketing.

Authenticity: Reviews must reflect genuine experiences.

Compliance: Reviews may not make unsubstantiated medical claims (e.g., claiming a cosmetic product "cures" a disease), as this violates FDA and FTC regulations. We reserve the right to excise any content that exposes the Company to regulatory risk.

Authorized Reseller Partner use of the Platform is governed by our Privacy Policy. As Jeunive operates within the United States, your data will be processed and stored in U.S.-based servers. International partners (EU/UK/Asia) acknowledge that data protection standards may differ from their home jurisdictions and expressly consent to this cross-border transfer.

Jeunive reserves the right to modify these terms at our discretion. Changes become effective immediately upon posting to the Platform. We will update the "Last Revised" date at the top of this document. Your continued placement of wholesale orders constitutes acceptance of the updated Terms.

We reserve the right to suspend or revoke Authorized Reseller Partner status at any time, with or without cause. Specifically, any breach of MAP (Minimum Advertised Price) policies or unauthorized platform selling will result in the immediate and permanent closure of your account and forfeiture of any pending professional discounts.

"As-Is" Basis: Our Platform and professional portal are provided without warranties of any kind, whether express or implied.

Liability Cap: To the maximum extent permitted by law, Jeunive, LLC shall not be liable for any lost profits, incidental damages, or business interruptions arising from Platform downtime or product stock-outs.

Governing Law: This Agreement and any disputes arising out of Authorized Reseller Partner relationship with Jeunive, LLC shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Mandatory Binding Arbitration: Authorized Reseller Partner and Jeunive, LLC agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the breach thereof, or the use of the Platform (collectively, "Disputes") shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Location & Fees: The arbitration shall take place in Orange County, California. The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Each party shall be responsible for their own legal fees, and the costs of the arbitrator shall be shared equally, unless the arbitrator determines otherwise in the award.

Class Action Waiver: AUTHORIZED RESELLER PARTNER AND JEUNIVE, LLC AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive your right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.

Hold Harmless & Indemnification: To the fullest extent permitted by law, Authorized Reseller Partner agrees to indemnify, defend, and hold harmless Jeunive, LLC and its individual team members, including but not limited to its officers, directors, employees, agents, representatives, and independent contractors (the "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

1. The Authorized Reseller Partner's use or misuse of Jeunive products;

2. Any breach by the Authorized Reseller Partner of these Terms and Conditions;

3. Any misrepresentations or unauthorized health claims made by the Authorized Reseller Partner to third parties.

Limitation of Personal Liability: Authorized Reseller Partner expressly acknowledge and agree that any legal claim brought under this agreement is strictly against the corporate entity of Jeunive, LLC. You hereby waive any right to seek personal damages or name any individual Jeunive team member in a professional or personal capacity in any legal proceeding.

Severability: If any portion of these 'Terms and Conditions' is found to be unenforceable, the remaining portions of the agreement shall remain in full force and effect.
